These Terms of Service (“Terms”) set forth the terms and conditions that govern your access to and use of our website and AI-powered services (collectively, the “Services”). By accessing or using Aivorys.com or any affiliated tools or platforms, you agree to be bound by these Terms, whether you are a registered user, visitor, client, or affiliated partner.

If you do not agree to these Terms, please do not use our Services.

1. WHO WE ARE

Aivorys LLC (“Aivorys,” “we,” “us,” or “our”) is an AI technology developer providing private, enterprise-grade AI services—including LLMs (large language models), content generation tools, automation workflows, and custom integrations—for lawful business and creative purposes.

2. ACCEPTANCE OF TERMS

By using our Services, you represent that:

• You are at least 18 years old and legally capable of entering into a binding agreement.
• You will comply with these Terms and with all applicable laws and regulations.
• If you act on behalf of a business, you are authorized to bind that entity to these Terms.

3. LICENSE & USER RIGHTS

Aivorys grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for lawful, authorized purposes only.

You may not:

• Copy, republish, or redistribute any part of our Services or content without permission.
• Attempt to reverse engineer, extract, or clone our models, APIs, or backend systems.
• Use our Services to create competing commercial technologies.

Customers using our Private AI Services shall abide by any enterprise license agreement or Data Processing Agreement (DPA) signed separately.

4. RESPONSIBLE AI USE POLICY

You agree not to misuse our AI technologies. In particular, you agree NOT to use our Services to:

• Generate unlawful, harmful, libelous, or discriminatory content.
• Mimic, impersonate, or simulate people or brands without written consent.
• Violate copyright, trademarks, patents, or publicity/privacy rights.
• Input sensitive, regulated, or protected data such as PHI, PII, credit card numbers, passwords, or internal corporate secrets.
• Produce, support, or promote deepfakes, misinformation, political propaganda, hate speech, or illegal activity.
• Automate outputs in areas requiring qualified human oversight, such as legal, financial, psychological, or medical contexts.

Violations may result in account termination and legal liability. Aivorys reserves the right to monitor inputs and outputs to ensure platform safety and compliance.

5. AI-GENERATED CONTENT DISCLAIMER

The Services may return AI-generated content, responses, outputs, or recommendations (“Outputs”). These Outputs are algorithmically generated and may be inaccurate, biased, or incomplete.

You acknowledge and agree that:

• Outputs should not be treated as professional or factual advice.
• You are solely responsible for verifying and validating AI-generated content before using it.
• Aivorys makes no representations about the reliability, legality, or appropriateness of any Outputs.

6. THIRD-PARTY DATA AND API INTEGRATION

AI outputs may be based on generalized training data, third-party integrations, open-source models, or licensed corpora. These sources may reflect opinions, outdated information, or third-party content protected under law.

You agree not to attribute AI-generated content as endorsements by or factual statements from Aivorys.

Where APIs or third-party apps are integrated, additional terms may apply.

7. PRIVACY AND DATA SECURITY

By using Aivorys, you agree to our Privacy Policy, which describes how we collect, store, and use data. Key points:

• Do not enter personal or sensitive data unless you have full legal authorization to do so.
• We do not sell user data.
• We process and store data using secure, cloud-based services with encryption standards.

For enterprise clients, custom Data Processing Agreements (DPAs) are available upon request.

8. OWNERSHIP & INTELLECTUAL PROPERTY

All intellectual property related to Aivorys’s products, services, models, code, and content belongs to Aivorys LLC or its licensors.

AI-generated Outputs remain owned by the user to the extent permitted by law—provided the user complies with these Terms. Aivorys retains the right to revoke access if misuse occurs.

9. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Aivorys LLC and its affiliates, officers, and employees from any claim, loss, liability, damage, judgment, or expense (including reasonable attorney fees) arising from:

• Any content you submit, input, or upload,
• Any AI-generated output you use or publish,
• Any violation of these Terms or applicable law by you or your users,
• Any third-party claim resulting from your use of our Services.

Aivorys is not responsible for any misuse, validation errors, or third-party legal conflicts arising from your implementation of our AI systems.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• AIVORYS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID FOR THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.
• WE DO NOT ACCEPT RESPONSIBILITY FOR THIRD-PARTY CLAIMS OR OUTPUT INACCURACIES CAUSED BY USER INPUT OR PROMPTING.

11. TERMINATION

We reserve the right to suspend or terminate your access to Aivorys at any time for:

• Breach of these Terms,
• Unsafe or abusive uses of our technology,
• Legal or regulatory considerations.

Upon termination, you must cease using the Services and promptly delete any associated credentials or materials.

12. MODIFICATIONS TO THE TERMS

We may revise these Terms at any time in our sole discretion. Continued use following updates constitutes your acceptance of the new Terms.

You are responsible for reviewing the latest version available on our website.

13. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of California, without regard to conflict of law rules.

Any disputes arising under these Terms shall be subject to arbitration or litigation in Alameda County, California.
